1Introduction

Welcome to Connexolve Infotech Pvt Ltd ("Connexolve," "we," "us," or "our"), a private limited company incorporated in India having its registered office at 5th Floor, 83, Shyama Prasad Mukherjee Road, Kalighat, Kolkata – 700026, West Bengal, India. By accessing our website (https://connexolve.in) or availing any of our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service.

2Services Offered

Connexolve provides the following services:

• Software & Web Development (websites, web applications, custom APIs)
• WhatsApp Business API integration & Bulk SMS Marketing
• Background Verification (BGV) Suite — PAN, Aadhaar, Bank Account, GST, Driving License, Voter ID, Passport, FSSAI, Udyog Aadhaar, Mobile, Email, Address & more
• Company Incorporation (Pvt Ltd, LLP, OPC), GST Registration, ROC Compliance, MSME & allied registrations
• Payroll Processing, Statutory Compliance (PF/ESI/PT/TDS), ITR Filing, GSTR Filing, HRMS
• Email Hosting, Domain Registration, Google Workspace / Zoho setup
• Mobile Application Development (iOS / Android)
• Payment Gateway Integration (Razorpay, Stripe, Cashfree, UPI)

3Eligibility

You must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872. By using our services, you represent that all information provided is accurate, complete, and current.

4Pricing & Payment Terms

• All prices listed are in Indian Rupees (INR) and are exclusive of GST unless stated otherwise.
• Payments are processed securely through Razorpay / Zoho Payments. Connexolve does not store payment card details.
• For project-based services, 50% advance payment is required before commencement; balance is payable per milestones in the proposal/quotation.
• Subscription services (hosting, email, BGV API, payroll, AMC) are billed in advance per the chosen cycle (monthly/quarterly/annual).
• Late payments may attract interest at 1.5% per month and may result in suspension of services.

5Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information, content, credentials, and materials required to deliver the service.
• Obtain all necessary consents (especially for BGV) from candidates/employees before submitting their data for verification, in compliance with the DPDP Act, 2023.
• Use our services only for lawful purposes.
• Not resell, sublicense, or redistribute our services without written consent.
• Maintain confidentiality of any login credentials issued to you.

6Project Delivery & Timelines

Project timelines mentioned in proposals are estimates and may vary based on client feedback turnaround, scope changes, or third-party API availability. Delays caused by the Client (e.g., delayed approvals, content delivery, KYC documents) shall not be attributable to Connexolve.

7Background Verification (BGV) Specific Terms

• BGV results are sourced from official government APIs and authorized data providers. Connexolve acts as a technology facilitator and is not liable for inaccuracies in source databases.
• Verification credits are non-transferable and have validity as specified at purchase.
• You confirm that explicit, written consent has been obtained from the data subject before initiating any verification.
• BGV reports are confidential and must not be shared beyond authorized personnel.

8Intellectual Property

All source code, designs, frameworks, and proprietary tools developed by Connexolve remain our intellectual property until full payment is received. Upon final payment, project-specific deliverables are transferred to the Client. Our pre-existing libraries, modules, and BGV platform technology remain our exclusive property.

9Third-Party Services

Our services may integrate third-party APIs and platforms (Meta WhatsApp, Razorpay, Google Workspace, Zoho, government BGV APIs, etc.). Use of such services is governed by their respective terms, and we are not liable for any disruption, downtime, or policy changes by these providers.

10Confidentiality & Data Protection

We comply with the Digital Personal Data Protection (DPDP) Act, 2023 and the Information Technology Act, 2000. Client data, employee data, and verification records are stored securely and used only for the contracted purpose. We will not disclose confidential information except as required by law.

11Service Level & Uptime

We target 99.9% uptime for hosted services and our BGV portal. Scheduled maintenance will be communicated in advance. SLA-backed services are subject to terms in the individual service contract.

12Limitation of Liability

To the maximum extent permitted by law, Connexolve's total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the Client to us in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.

13Termination

Either party may terminate the engagement with 30 days' written notice. We reserve the right to terminate services immediately for non-payment, breach of these Terms, fraudulent or illegal activity, or misuse of our BGV/marketing platforms. Fees paid for services already rendered are non-refundable.

14Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond reasonable control, including acts of God, natural disasters, government action, internet outages, or third-party API failures.

15Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal.

16Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email or by posting on our website. Continued use of services constitutes acceptance of revised Terms.
